GenieGets Terms of Service

Eligibility

You must:

• Be at least 18 years old
• Have the authority to enter into binding contracts
• Not be prohibited from using our Service under applicable laws
• Use the Service for lawful business purposes only

Account Registration

When you sign up:

• You'll create an account and connect your email via secure app-specific passwords
• You must provide accurate, complete information
• You're responsible for maintaining account security
• You're responsible for all activity under your account
• You can't share your account credentials
• Notify us immediately if you suspect unauthorized access

Business Use Only

GenieGets is a business tool designed for B2B lead generation. You represent that you're using the Service for legitimate business purposes and not for personal, household, or consumer purposes.

What You Can Do

You're licensed to use GenieGets to:

• Create and manage lead generation campaigns
• Discover and research business prospects
• Send personalized outreach emails via your connected inbox
• Track campaign performance and engagement
• Manage conversations with prospects
• Access analytics and reporting features

What You Can't Do

You agree NOT to:

What You Own

You retain all ownership rights to:

• Your business information and materials
• Lead lists you upload
• Any other content you provide to GenieGets

License You Grant Us

By using GenieGets, you grant us a limited license to:

• Access and process your content to provide the Service
• Use AI to generate email content based on your materials
• Store your campaign data on our servers
• Display your performance metrics in your dashboard
• Analyze aggregated, anonymized data to improve our platform

This license ends when you delete content or close your account.

Your Responsibilities

You're responsible for:

• Ensuring you have rights to all content you provide
• Not uploading content that infringes others' rights
• Complying with privacy laws when collecting prospect data
• Backing up any critical data (though we maintain backups)
• The accuracy of information you provide to prospects

Important: You're the data controller for prospect data. You're responsible for complying with GDPR, CCPA, and other privacy regulations in your outreach.

Privacy Policy

Our collection, use, and protection of your personal information is governed by our Privacy Policy. By using the Service, you agree to our Privacy Policy.

Data Processing Agreement (DPA)

For Custom customers and upon request, we will enter into a Data Processing Agreement that includes:

• Standard Contractual Clauses (SCCs) for EU/UK/Swiss data transfers
• Technical and organizational security measures
• Subprocessor notification and management
• Data subject rights procedures
• Breach notification protocols

Data Hosting and Infrastructure

• Hosting Location: Your data is hosted in the United States using Amazon Web Services (AWS) infrastructure, primarily in the US-East region.
• Infrastructure Provider: Amazon Web Services (AWS)
• Security: We implement industry-standard security measures including encryption in transit (TLS 1.2+), encryption at rest (AES-256), regular security audits, access controls and authentication, monitoring and logging

Subprocessors

We use the following subprocessors to provide the Service: Amazon Web Services (AWS), Google, Stripe, OpenAI, Anthropic, Supabase, etc.

Current Subprocessor List: A complete, up-to-date list of subprocessors is available upon request.

International Data Transfers

GenieGets is a US-based company with infrastructure hosted exclusively in the United States. By creating an account and using our services, you acknowledge and agree that:

• All data you provide will be transferred to, stored, and processed in the United States
• US data protection laws apply to your information, which may differ from laws in your country
• If you're located in the European Union, United Kingdom, or other jurisdictions with specific data protection requirements, you're choosing to transfer your data to the US by using our service
• We don't currently offer data residency options outside the United States

Definition

"Confidential Information" means non-public information disclosed by either party that is designated as confidential or that reasonably should be understood to be confidential, including business plans, product roadmaps, customer lists, pricing, technical data, security practices, and proprietary algorithms.

Obligations

Each party shall:

• Use the other party's Confidential Information solely to perform under these Terms
• Protect it with at least the same degree of care it uses for its own Confidential Information (no less than reasonable care)
• Not disclose it to any third party except to employees, contractors, or advisors who have a legitimate need to know and are bound by confidentiality obligations no less protective than these Terms

Exclusions

Confidential Information does not include information that:

• Was or becomes publicly available through no breach of these Terms
• Was rightfully in the receiving party's possession prior to disclosure
• Is independently developed by the receiving party without use of or reference to the Confidential Information
• Is rightfully obtained from a third party without confidentiality restrictions
• Must be disclosed pursuant to law or court order (provided the receiving party gives reasonable advance notice)

Return or Destruction

Upon termination or upon request, we will delete all Confidential Information uploaded to our platform. The receiving party shall certify in writing that it has complied with this obligation.

Exception: The receiving party may retain copies as required by law or professional record retention policies, subject to continued confidentiality obligations.

Duration

Confidentiality obligations survive for three (3) years after termination of these Terms or until the information no longer qualifies as Confidential Information under the exclusions above, whichever occurs first.

How Our AI Works

GenieGets uses artificial intelligence to:

• Discover leads matching your ideal customer profile
• Research company information and decision-makers
• Generate personalized email content
• Manage multi-touch conversation sequences
• Analyze prospect responses and sentiment
• Optimize campaign performance

AI Limitations and Your Control

• We can't guarantee 100% deliverability
• Prospect email filters, spam blockers, and other factors affect delivery
• Poor sender reputation may result from violating our Terms
• We may pause campaigns if we detect deliverability issues

Services We Connect With

GenieGets integrates with:

• Gmail, Google Workspace, Outlook, and other email providers (via SMTP/IMAP)
• Stripe (payment processing)
• Calendly (meeting scheduling)
• Lead data sources

Your Responsibility

When you connect third-party services:

• You authorize us to access data from those services
• You're responsible for maintaining those accounts
• You must comply with each service's terms of use
• We're not responsible for third-party service failures
• You can revoke access anytime through your account settings

Our IP

GenieGets owns all rights to:

• Our platform, software, and technology
• Our brand, logo, and trademarks
• AI models and algorithms
• Documentation and support materials
• Analytics and aggregated data insights

You can't use our IP except as necessary to use our Service.

Feedback

If you provide suggestions, ideas, or feedback:

• We can use them without restriction or compensation
• You grant us a perpetual, royalty-free license to implement them
• No confidential relationship is created by sharing feedback

Your Right to Cancel

You can cancel anytime:

• Cancellation takes effect at the end of your billing period
• Active campaigns stop at that time
• You can export your data within 30 days
• Your data is permanently deleted after 30 days
• No refunds for unused time or credits

Our Right to Suspend or Terminate

We may suspend or terminate your account if:

• You violate these Terms or our policies
• Your payment fails
• We detect fraudulent or abusive activity
• You send spam or violate anti-spam laws
• Your campaigns cause deliverability issues
• We're required to by law
• We decide to discontinue the Service (with 30 days notice)

Consequences of Termination

• Immediate loss of access to the Service
• No refunds of fees already paid
• We may delete your data immediately (except as required by law)
• Outstanding fees remain due and payable

Uptime and Reliability

Support

Service "As Is"

GENIEGETS IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR RELIABILITY
• UNINTERRUPTED OR ERROR-FREE OPERATION

Translation: We built a great product, but we can't guarantee it'll be perfect or work for every use case.

Results Not Guaranteed

We don't guarantee:

• Specific numbers of leads, meetings, or conversions
• Email deliverability rates
• Response rates or engagement levels
• ROI or revenue generation
• AI accuracy or quality

Results depend on your industry, offer, targeting, and many factors outside our control.

Campaign Performance

Your results will vary based on:

• Quality of your offer and value proposition
• Accuracy of your ICP targeting
• Competitive landscape in your market
• Email deliverability and sender reputation
• Prospect receptiveness and timing
• How well you use the platform

Third-Party Actions

We're not responsible for:

• Prospect complaints or negative responses
• Damage to your reputation from misuse of our platform
• Third-party service failures or data breaches
• Actions of prospects who receive your outreach
• Regulatory penalties for your campaign practices

General Limitation Amount

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF GENIEGETS SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID US IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Enhanced Liability for Specific Breaches

Notwithstanding the general limitation above, for claims arising from:

• Our breach of confidentiality obligations under these Terms
• Our unauthorized disclosure of your Confidential Information
• Our breach of data protection obligations under an executed DPA
• Our gross negligence or willful misconduct

OUR TOTAL LIABILITY SHALL NOT EXCEED THE LESSER OF:

• THE TOTAL AMOUNT YOU PAID US IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR
• FIVE HUNDRED THOUSAND DOLLARS ($500,000)

Excluded Damages

WE'RE NOT LIABLE FOR:

• INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
• LOST PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES
• DATA LOSS OR CORRUPTION
• DAMAGE TO REPUTATION
• THIRD-PARTY CLAIMS
• PUNITIVE OR EXEMPLARY DAMAGES

Exceptions

These limitations don't apply where prohibited by law.

Translation: For most issues, the most we'll owe you is what you've paid us in the past year. For serious breaches like confidentiality violations, our liability is capped at $500,000 or your annual fees, whichever is less. We're not responsible for lost business, revenue, or other indirect problems.

Your Indemnification of GenieGets

You agree to defend, indemnify, and hold GenieGets harmless from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Content you send through our platform
• Your violation of these Terms
• Your violation of any laws or third-party rights
• Campaigns you run using our Service
• Any spam complaints or regulatory actions related to your use
• Your breach of data protection laws or regulations

GenieGets' Indemnification of You

GenieGets agrees to defend, indemnify, and hold you harmless from any third-party claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

• Our infringement of third-party intellectual property rights in the Service
• Our violation of applicable data protection laws in our processing of data on your behalf (where you are the data controller and we are the data processor)
• Our breach of confidentiality obligations under these Terms

Indemnification Process

The indemnified party must:

• Promptly notify the indemnifying party in writing of any claim
• Give the indemnifying party sole control of the defense and settlement
• Provide reasonable cooperation in the defense (at indemnifying party's expense)

The indemnifying party may not settle any claim without the indemnified party's consent if the settlement admits liability, imposes obligations, or doesn't include an unconditional release of all claims.

Limitations

Neither party is obligated to indemnify for claims arising from modifications not made by the indemnifying party, use in combination with third-party products, failure to use updates, or use in violation of these Terms.

Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

Informal Resolution First

Before filing any claim:

• Describe the issue and what you want
• Give us 30 days to try to resolve it

Most disputes can be resolved through good faith communication.

Arbitration Agreement

IMPORTANT: Please read this carefully. It affects your legal rights.

Class Action Waiver

YOU AGREE THAT DISPUTES MUST BE BROUGHT INDIVIDUALLY, NOT AS CLASS ACTIONS, CONSOLIDATED ACTIONS, OR REPRESENTATIVE ACTIONS. You waive any right to participate in class actions against GenieGets.

Venue for Non-Arbitrated Disputes

For any disputes not subject to arbitration (or if you opt out), you consent to the exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware.

Entire Agreement

These Terms, along with our Privacy Policy and any executed Data Processing Agreement, constitute the entire agreement between you and GenieGets. They supersede any prior agreements or representations.

Changes to Terms

We may modify these Terms at any time:

• Updated Terms posted with a new "Last Updated" date
• Significant changes notified via email or platform notice
• Continued use after changes constitutes acceptance
• If you don't agree, cancel your account before changes take effect

Severability

If any provision of these Terms is found unenforceable, the rest remains in effect. The parties will replace the unenforceable provision with an enforceable provision that best reflects the original intent.

No Waiver

Our failure to enforce any right doesn't waive that right. All waivers must be in writing and signed by the party waiving the right.

Assignment

You can't transfer your rights under these Terms without our prior written consent. We may assign our rights to any affiliate, successor, or acquirer without restriction. Any attempted assignment in violation of this section is void.

Force Majeure

Neither party is liable for delays or failures due to circumstances beyond its reasonable control, including natural disasters, acts of war or terrorism, government actions or regulations, Internet or telecommunications failures, strikes or labor disputes, and pandemics or public health emergencies.

Survival

The following provisions survive termination of these Terms: payment obligations, intellectual property rights, confidentiality obligations, data protection obligations, disclaimers and limitations of liability, indemnification obligations, dispute resolution provisions, and any provision that by its nature should survive.

We'll send notices to your email address on file. Keep it current. Notices are deemed received 24 hours after sending.

Export Controls

You're responsible for complying with all export control and economic sanctions laws. You represent that:

• You're not located in, or a national of, any country subject to U.S. embargo
• You're not on any U.S. government list of prohibited or restricted parties
• You won't use the Service in violation of any export restrictions

Government Use

If you're a U.S. government entity, GenieGets is a "commercial item" as defined in FAR 2.101, and you receive only those rights granted to all commercial users under these Terms.

Anti-Bribery

You agree to comply with all anti-bribery and anti-corruption laws, including the Foreign Corrupt Practices Act (FCPA) and UK Bribery Act.

Your Legal Obligations

You're responsible for:

• Complying with all applicable laws in your jurisdiction
• Obtaining necessary licenses or permits for your business activities
• Complying with anti-spam laws (CAN-SPAM, GDPR, CASL, etc.)
• Obtaining proper consent before collecting or processing personal data
• Including required disclosures in your communications
• Responding to opt-out requests promptly
• Maintaining records of consent and processing activities
